1. Acceptance of Terms

By accessing or using AutomateSocials.net (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms constitute a legally binding agreement between you and DG1 Group Holdings Inc ("Company", "we", "us", or "our").

2. Description of Service

AutomateSocials.net is an AI-powered social media automation platform that allows users to create, schedule, and publish content across multiple social media platforms including Facebook and Instagram. The Service utilizes artificial intelligence to assist in content generation and automates the posting process according to user-defined schedules.

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You must be at least 18 years old to use the Service. By registering, you represent and warrant that you meet this requirement.

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer the following subscription plans:

• Free Plan: 5 posts total per month across all platforms, 1 connected page per social network
• Pro Plan: $29/month, 100 posts per platform per month, 3 connected pages per social network

4.2 Billing

• Pro Plan subscriptions are billed monthly in advance
• All payments are processed securely through Stripe
• Subscription fees are non-refundable except as required by law
• We reserve the right to change subscription fees with 30 days' notice
• Post limits reset at the beginning of each billing cycle

4.3 Cancellation

You may cancel your Pro subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to Pro features until the end of the paid period.

5. User Content and Intellectual Property

5.1 Your Content

You retain all rights to the content you create, upload, or post through the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and transmit Your Content solely for the purpose of providing and improving the Service.

5.2 Content Responsibilities

You are solely responsible for Your Content and represent that:

• You own or have the necessary rights to use and authorize us to use Your Content
• Your Content does not violate any third-party rights, including intellectual property rights
• Your Content complies with these Terms and all applicable laws

5.3 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by DG1 Group Holdings Inc and is protected by international copyright, trademark, and other intellectual property laws.

6. Social Media Platform Integration

The Service connects to third-party social media platforms (Facebook, Instagram) through their official APIs. By using these integrations, you agree to:

• Comply with the terms of service of each connected platform
• Grant necessary permissions for the Service to post on your behalf
• Understand that we are not responsible for changes to third-party platform APIs or policies
• Acknowledge that platform connectivity may be interrupted or discontinued

You may revoke access permissions at any time through your account settings or the respective platform's settings.

7. AI-Generated Content Disclaimer

The Service uses artificial intelligence to assist in content generation. You acknowledge and agree that:

• AI-generated content is provided as a suggestion and may require human review and editing
• AI-generated content may not always be accurate, appropriate, or suitable for your purposes
• You are solely responsible for reviewing, editing, and approving all content before publication
• We do not guarantee the quality, accuracy, or appropriateness of AI-generated content
• You should ensure all published content complies with applicable laws and platform policies

8. Prohibited Uses

You agree not to use the Service to:

• Violate any laws, regulations, or third-party rights
• Post spam, unsolicited messages, or engage in deceptive practices
• Harass, abuse, threaten, or intimidate others
• Distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Impersonate any person or entity or misrepresent your affiliation
• Scrape, data mine, or use automated tools to access the Service without permission
• Post content that is illegal, defamatory, obscene, or otherwise objectionable
• Violate the terms of service of connected social media platforms

9. Service Availability and Modifications

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time
• Change features, functionality, or subscription plans with reasonable notice
• Perform scheduled or emergency maintenance
• Update these Terms from time to time (we will notify you of material changes)

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL DG1 GROUP HOLDINGS INC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Service interruptions or delays
• Content posted to social media platforms
• Third-party platform actions or policy violations
• Unauthorized access to your account or data

Our total liability to you for all claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless DG1 Group Holdings Inc, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and content
• You remain liable for all obligations incurred prior to termination
• Sections of these Terms that by their nature should survive termination will survive

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in Vancouver, British Columbia, except that either party may seek injunctive relief in court to protect intellectual property rights.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Miscellaneous

14.1 Entire Agreement

These Terms constitute the entire agreement between you and DG1 Group Holdings Inc regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.
